1. Introduction & WaaS Business Model

These Terms of Service ("Terms") govern the provision of website design, development, hosting, and monthly maintenance services provided by TradeWebs UK ("we", "us", "our") to our client ("you", "your", "the Client"). By subscribing to our Website-as-a-Service (WaaS) plans via our online checkout or onboarding portal, you agree to be legally bound by these Terms.

TradeWebs operates on a subscription-based model consisting of an initial one-off setup fee (£299 standard) and an ongoing monthly retainer (£49/month standard, or £249/year on annual billing). This retainer covers website hosting, domain registration/renewal, SSL security certificates, and routine content edits.

2. Service Fulfilment & Delivery Timeline

We pride ourselves on rapid, professional delivery for UK trades businesses:

  • Onboarding & Initial Concept: Upon receipt of your initial setup payment and submission of your onboarding questionnaire, our engineering team will begin building your website. An initial design concept will be delivered via WhatsApp or email within 48 to 72 business hours.
  • Revisions & Launch: You are entitled to reasonable design revisions prior to launch. Once approved, we will connect your custom domain (.co.uk or .com) and publish the site live to the web.
  • Monthly Maintenance & Updates: Your active monthly retainer includes up to one (1) hour of standard content edits per month (e.g., updating text, adding new project photos, changing service prices, or updating phone numbers). Requests must be submitted via WhatsApp or email and are typically completed within 24 hours.

3. Refund, Cancellation & Termination Policy

We aim for complete transparency regarding payments and contract terms:

  • Setup Fee Policy: Because custom design, copywriting, and engineering resources are allocated immediately upon onboarding, the initial one-off setup fee (£299) is non-refundable once design work has commenced.
  • Monthly Retainer Cancellation: There are no long-term contracts or cancellation penalties. You may cancel your monthly subscription at any time by providing at least 30 days' written notice via email (tradewebs.agency@gmail.com) or WhatsApp.
  • Effect of Cancellation: Upon cancellation and expiration of your paid billing period, we will cease hosting the website and cancel associated software subscriptions. If you have been an active paying subscriber for at least twelve (12) consecutive months, we will, upon written request, transfer ownership of the domain name and static HTML/CSS files to your designated registrar at no charge.

4. Intellectual Property & Domain Ownership

You retain full ownership of all logos, trademarks, text, and photos provided by you for inclusion on the website. We retain ownership of our proprietary codebases, templates, scripts, and design frameworks used to construct and manage the service during the active subscription period.

5. Warranty Disclaimer

THE SERVICES, WEBSITES, AND HOSTING INFRASTRUCTURE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. While we utilize enterprise-grade hosting infrastructure (such as Netlify and AWS) aiming for 99.9% uptime, TradeWebs does not warrant that the website will be uninterrupted, entirely error-free, immune to cyber-attacks, or that specific search engine ranking positions (e.g., Google #1 spot) will be guaranteed.

6. Limitation of Liability (Critical Protection)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UK LAW, TRADEWEBS UK, ITS DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH WEBSITE DOWNTIME, TECHNICAL ERRORS, THIRD-PARTY SERVICE FAILURES (SUCH AS STRIPE, NETLIFY, OR GOOGLE), OR SEARCH ENGINE ALGORITHM CHANGES.

IN NO EVENT SHALL TRADEWEBS UK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT OF MONTHLY SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO TRADEWEBS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification & Client Responsibility

You agree to defend, indemnify, and hold harmless TradeWebs UK from any claims, damages, or legal fees arising from content, images, or claims published on your website at your direction (e.g., copyright infringement from photos you supply, or regulatory non-compliance of your trade certifications).

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
